Small Business Capital Formation Advisory Committee to Discuss the SEC’s Capital Formation Proposal
April 29th | 2020
Today the SEC released its agenda for the Friday, May 8 meeting of its Small Business Capital Formation Advisory Committee, which will be hosted via video conference. The SEC will be discussing recent Capital Formation Proposal, which proposes amendments to simplify, harmonize, and improve certain aspects of the exempt offering framework.
Since Congress passed the Jumpstart Our Business Startups Act of 2012, the SEC has introduced, expanded, or otherwise revised a number of exemptions from registration (e.g., Reg. D, Reg. A, Reg. Crowdfunding, etc.). The proposed amendments seek to address gaps and complexities in the exempt offering framework that may impede access to investment opportunities for investors and access to capital for issuers.
During the meeting, the Committee will also continue its discussion from April 2 on how small businesses are coping with COVID-19 and share observations from their areas of the marketplace. The SEC is accepting comments on its proposal until June 1, 2020.
